Agreement
By using an R2C Labs product or service, you agree to these Terms and Conditions. If you do not agree, do not use the relevant product or service.
Service provider
R2C Labs provides and licenses its software products and related services.
Accounts
You are responsible for accurate account information, keeping credentials secure, and activity through your account. You must ensure people you authorize to use an account are authorized to do so.
You may stop using a service or request account closure at any time, subject to applicable billing and data-retention provisions.
Subscriptions, payments, and renewals
Some R2C Labs features require a paid subscription. Applicable prices, features, and limits are shown before purchase. Unless stated otherwise, subscriptions are recurring and renew automatically at the end of each billing period until cancelled.
For transactions processed through Paddle, Paddle.com acts as online reseller and Merchant of Record. Paddle processes payment, applicable billing, transaction-related customer service enquiries, and returns. R2C Labs provides and licenses the applicable service.
By purchasing a subscription, you authorize recurring charges for the selected plan until it is cancelled. If payment fails or a subscription is inactive, we may restrict or suspend paid features until resolved.
Cancellation
You may cancel a subscription to prevent future renewals. Unless stated at purchase, cancellation takes effect at the end of the paid billing period and does not automatically create a prorated refund. Refunds are governed by the Refund Policy, Paddle's applicable terms, and mandatory rights under applicable law.
Acceptable use
You may not use R2C Labs products or services to:
- carry out illegal activities;
- send unlawful spam or unsolicited communications;
- commit or automate fraud;
- misleadingly impersonate a person or organization;
- infringe third-party rights;
- gain unauthorized access to systems, accounts, or data;
- interfere with security or operation; or
- harm R2C Labs, its providers, or third parties.
Content and data
You retain the rights you hold in content and data you upload or generate, subject to third-party rights. You grant only permissions necessary to provide, maintain, protect, and improve the applicable service as described in the Privacy Policy. You are responsible for having the permissions and lawful basis required to provide third-party content or personal data.
Intellectual property
R2C Labs software, brand, design, code, interfaces, and proprietary elements are protected by applicable intellectual-property laws. These terms do not transfer ownership. While you maintain a valid account, we grant a limited, non-exclusive, non-transferable right to use the applicable service under your plan and these terms.
Third-party services
Products may interact with third-party services, including infrastructure, artificial-intelligence, integration, messaging, and payment providers. Their availability may depend on their own providers and terms; we do not control them or guarantee uninterrupted operation.
Availability and changes
We take reasonable steps to keep services available, but do not guarantee uninterrupted availability or an absence of errors. We may modify, improve, replace, or discontinue features where necessary to maintain or develop a service. Where a change materially affects a purchased service, we will seek to give reasonable advance notice where practical.
Limitation of liability
To the maximum extent permitted by law, services are provided as-is and as-available. R2C Labs is not liable for indirect damages, lost business opportunities, lost profits, or consequences arising from interruptions or third-party services, except where law provides otherwise.
To the extent permitted by law, R2C Labs' total liability relating to a service will not exceed the amount actually paid for that service during the 12 months before the event giving rise to the claim. Nothing limits rights or liabilities that cannot lawfully be limited.
Changes to these terms
We may update these terms due to changes in services, legal requirements, providers, or business practices. For material changes, we will seek to give reasonable advance notice. Continued use after updated terms take effect constitutes acceptance where permitted by law.
Governing law and jurisdiction
These terms are governed by the laws of the Oriental Republic of Uruguay, without prejudice to mandatory consumer rights under other applicable laws. Unless a mandatory rule provides otherwise, disputes are subject to the competent courts of Montevideo, Uruguay.
